1. General Terms

These Terms and Conditions govern all contracts between the Client and GFX Studio for design services including UI/UX design, graphic design, branding, website development, and digital marketing services. By engaging our services, you agree to these terms and acknowledge entering into a binding contract.

2. Service Agreement

2.1 Scope of Work

  • Services include UI/UX design, graphic design, branding, website development, and digital marketing

  • Specific project details will be outlined in individual proposals

  • Any additional work outside the agreed scope requires separate authorization

2.2 Project Timeline

  • Timelines are estimates based on client cooperation and timely feedback

  • Delays caused by client feedback, approvals, or content provision may extend deadlines

  • Rush projects may incur additional charges

3. Payment Terms

3.1 Fees and Billing

  • All fees are quoted in Indian Rupees (INR)

  • Payment schedules will be specified in individual project proposals

  • Late payments may incur interest charges of 2% per month

3.2 Additional Costs

  • Client is responsible for third-party costs (stock images, fonts, hosting, domains)

  • Travel expenses for client meetings outside our service area

  • Printing and production costs for physical materials

4. Client Responsibilities

4.1 Content and Materials

  • Client must provide accurate, complete, and timely content

  • Client warrants ownership or proper licensing of all provided materials

  • Client is responsible for proofreading and content accuracy

4.2 Feedback and Approvals

  • Feedback must be provided within 7 business days

  • Approvals must be given in writing (email acceptable)

  • Significant delays in feedback may result in project suspension

5. Intellectual Property Rights

5.1 Ownership

  • Upon full payment, client receives usage rights to final delivered designs

  • GFX Studio retains copyright and portfolio usage rights

  • Client may not resell, redistribute, or claim authorship of designs

5.2 Revisions and Modifications

  • Standard packages include specified number of revisions

  • Additional revisions beyond scope will be charged separately

  • Major concept changes may require new project agreement

6. Design Process

6.1 Concepts and Presentations

  • Initial concepts remain property of GFX Studio until final payment

  • Unused concepts may be repurposed for other projects

  • Client feedback must be constructive and specific

6.2 File Delivery

  • Final files delivered in formats specified in project agreement

  • Source files (PSD, AI, etc.) may require additional fees

  • File delivery occurs upon full payment completion

7. Cancellation and Termination

7.1 Project Cancellation

  • Either party may terminate with 7 days written notice

  • Client pays for work completed up to termination date

  • Cancellation fees may apply based on project stage

7.2 Refund Policy

  • Refunds considered on case-by-case basis

  • No refunds for completed work or approved deliverables

  • Deposits are non-refundable after work commencement

8. Liability and Warranties

8.1 Limitation of Liability

  • GFX Studio’s liability limited to project fee amount

  • Not responsible for indirect or consequential damages

  • Client indemnifies GFX Studio against third-party claims

8.2 Warranties

  • Work performed with professional standards and industry practices

  • No warranty on third-party materials or client-provided content

  • 30-day warranty on technical functionality issues

9. Confidentiality

Both parties agree to maintain confidentiality of proprietary information shared during the project. This includes business strategies, unpublished designs, and sensitive client data.

10. Force Majeure

GFX Studio is not liable for delays caused by circumstances beyond reasonable control, including natural disasters, government actions, or technical failures.

11. Dispute Resolution

11.1 Governing Law

These terms are governed by Indian law and subject to jurisdiction of Indian courts.

11.2 Resolution Process

  • Disputes should first be addressed through direct communication

  • Mediation preferred before legal proceedings

  • Legal proceedings conducted in appropriate Indian courts

12. Website and Digital Services

12.1 Website Development

  • Client responsible for hosting, domain registration, and maintenance

  • GFX Studio provides design and development services only

  • Ongoing support available through separate maintenance agreements

12.2 SEO and Marketing

  • Results cannot be guaranteed due to algorithm changes

  • Client responsible for content updates and ongoing optimization

  • Performance metrics tracked but not guaranteed

13. General Provisions

13.1 Modifications

These terms may be updated periodically. Clients will be notified of significant changes.

13.2 Severability

If any provision is deemed invalid, remaining terms continue in full effect.

13.3 Entire Agreement

These terms, combined with individual project proposals, constitute the complete agreement.
